    David I. Greenberg
    Managing Director, Cortina Partners LLC and Special Advisor, LRN Corporation

    David Greenberg serves as Chair of the Governance and Risk Assessment Committee and a member of the Audit Committee of International Seaways (NYSE: INSW), one of the largest global crude oil and petroleum tanker companies. Mr. Greenberg’s previous board experience (2006 to 2016) was as the independent director – and member of both the Audit and Compensation Committees –of APCO Worldwide, a private communications and government affairs consultancy and as a director (2013 to 2016) of Clean Tech Group, which creates opportunities for industrial companies to invest in innovative, clean technology. He also served for 5 years as Chairman of the Board of Trustees of The Keystone Center, a Colorado non-profit that brings together oil, chemical and pharmaceutical companies with leading NGOs to find solutions to complex public policy challenges at the federal and state levels.

    Greenberg is currently Managing Director of Cortina Partners LLC, a private equity firm that owns companies in the air medical, addiction treatment, bedding, textile and outdoor recreation industries and is CEO of Acqua Recovery, a residential drug and alcohol addiction center. He also advises boards and executive teams on strategy, compliance, leadership and culture as a Special Advisor for LRN Corporation, and from 2008 through the end of 2016 was a member of LRN’s Executive Committee. For 20 years prior to 2008, Mr. Greenberg served in various senior positions overseeing government affairs, corporate affairs, communications and strategy at Altria Group, Inc. – then the parent company of Philip Morris USA, Philip Morris International, Kraft Foods and Miller Brewing – culminating in his role as Senior Vice President, Chief Compliance Officer and a member of the Executive Committee. As one of five senior vice presidents of the corporation, he served on the Management Committee, which oversaw all strategy and company operations. He was also a principal architect of the company’s very successful efforts to end the ‘tobacco wars’ which threatened the company’s very existence. Earlier in his career, Mr. Greenberg was a partner in the Washington D.C. law firm of Arnold & Porter and also served as Legislative Director and General Counsel of the Consumer Federation of America. He attended Williams College and has JD/MBA degrees from the University of Chicago.

    Greenberg has testified before the U.S. Congress, the European Union, the Israeli Knesset and other governmental bodies over two dozen times and has appeared on ABC Nightline, the CBS Morning News, BBC Morning, and the PBS News Hour, and has spoken at leading events for CEOs and boards.

    Ellen is a lawyer, ethics & compliance professional, audit executive, and chief privacy officer. She has expertise in identifying, evaluating and mitigating risks as an advisor to the Board of Directors and senior management. She has over 20 years of management experience in various industries in creating, designing, implementing, and operating world class ethics and compliance programs including board governance and reporting, designing instructor led and on-line ethics education, creating policy management frameworks, managing enterprise and compliance risk processes as well as handling investigations and regulatory agency inquiries.

    Before joining Spark, Ellen served as the Vice President, Compliance Program Operations and Chief Privacy Officer for LifePoint Health, a national healthcare network with 60,000 employees in over 80 hospitals, post acute services, and outpatient centers operating in 28 states. Prior to that she served as the Senior Vice President ~ Audit, Ethics & Compliance Officer for AARP, a 38 million member not-for-profit association that advocates for the 50+ to empower them to chose how they live as they age. At AARP, she set the strategic direction for both the Internal Audit and the Ethics & Compliance functions with a team of seven and a budget of over $1 million. Ellen created the first Code of Conduct and Code of Ethics for the AARP Boards and established an ethics and compliance program from seven page conflict of interest policy. AARP was honored as a World’s Most Ethical Company in 2019, 2020, and 2021.

    She is an adjunct professor with the Fordham University School of Law, Program for Corporate Ethics and Compliance, teaching the Introduction to Compliance and Capstone courses. Ellen serves on the Advisory Boards for the Notre Dame Deloitte Center for Ethical Leadership, Loyola University Chicago, School of Law- Compliance Studies, Compliance Week, and the Quorum Initiative. She also writes on important topics related to risk and is a frequent presenter at national conferences.

    Ellen is a graduate of The McDonough School of Business – Georgetown University, Executive Education, AARP AgL Leadership Program; earned her Juris Doctor from UIC John Marshall Law School; and a B.A. from Hope College.

Haydee has extensive international business experience having been responsible for leading teams consisting of finance, franchise, tax and operations personnel in the entry of McDonald’s into new markets in Europe, Asia and Latin America. Acknowledged as an effective business strategist and master negotiator with strong people skills, Haydee is credited with playing an instrumental role in McDonald’s entry into and ongoing growth throughout multiple Latin America markets. From negotiating real estate, construction, and super franchise agreements to handling due diligence and litigation, Haydee has directed organizations through a myriad of complex and challenging legal circumstances.

    As a result of her many transformational legal and compliance initiatives, Haydee became a two-time recipient of Ethisphere Magazine’s Attorneys Who Matter in Compliance and Ethics Award. In addition, she was honored with the DuPage Association of Women Lawyers Glass Ceiling Buster Award. Through superior work in her prior roles at McDonald’s, including Division General Counsel of the Great Lakes Region, General Counsel of the Latin America Region, and Development Legal Team Director, Haydee received McDonald’s Legal Eagle Award for outstanding legal services as well as Outstanding Real Estate Attorney Award.

    Frequently sought out for her industry expertise and unmatched leadership in ethics and compliance, Haydee has been quoted in industry publications and delivered keynote speeches including Dow Jones Global Compliance Symposium; American Bar Association 30th Annual Forum on Franchising; Corporate Wavelength Web Conference; and University of Illinois Lecture Series.
